Tengu is software: it helps you research markets and route orders through a brokerage you connect, but the brokerage holds your assets and executes the trades. This page lists the risks and regulatory caveats that go with using a product like this.

01Tengu is software, not a broker or adviser

Tengu, Inc. is a software company. We are not a broker-dealer, member of FINRA or SIPC, registered investment adviser, custodian, bank, or insurance provider. We do not custody your funds or securities, do not provide personalised investment advice, and do not undertake to act in your best interest as a fiduciary.

Your funds and securities remain at the brokerage you have connected to Tengu. That brokerage is the regulated entity that opens your account, holds your assets, applies its own eligibility and risk rules, and executes the orders you authorise. Tengu’s role is to help you organise research, view your positions, and submit those orders, nothing more.

02Nothing on Tengu is investment advice

Information shown in Tengu (including charts, screens, rankings, news summaries, AI responses, alerts, and marketplace strategy descriptions) is for informational and educational purposes only. It is not a recommendation, solicitation, or offer to buy or sell any security, and it is not personalised to your financial situation, risk tolerance, time horizon, tax position, or any other circumstance. Words like “buy,” “sell,” “trim,” or “rotate” that appear anywhere in the product are informational labels, not instructions. Consult a licensed professional before making investment, tax, legal, or insurance decisions.

03Investing involves risk

All investing carries risk, including the risk of losing some or all of the principal you commit. Markets can move quickly and against your position. Concentrated positions, options, derivatives, leveraged products, and short positions can lose more than the amount initially invested. Liquidity can disappear in stressed markets. International securities involve additional risks, including currency risk and political risk.

You alone are responsible for assessing whether a given strategy or trade is appropriate for your situation, for sizing positions, and for managing risk in your portfolio. Tengu’s pre-trade checks (such as position-size limits or drawdown gates) are a software backstop, not a substitute for your own risk management or for the protections provided by your brokerage.

04Past performance is not a guarantee of future results

Performance numbers shown in Tengu (for individual securities, strategies, portfolios, or marketplace listings) may be historical, back-tested, simulated, paper-traded, or model-generated. None of these are a reliable indicator of how the same strategy or security will perform going forward.

Hypothetical or simulated performance results have inherent limitations. They are prepared with the benefit of hindsight, do not reflect actual trading, and may not account for liquidity, slippage, financing, taxes, fees, or operational events that affect real-world execution. No representation is being made that any account will or is likely to achieve profits or losses similar to those shown.

05AI-generated content

Tengu’s AI-assisted features are powered by third-party language models, currently including OpenAI, Anthropic, Google, xAI, and Perplexity. AI models can produce content that is wrong, incomplete, outdated, or misleading. Tickers, prices, dates, identities, and inferences about your portfolio in AI output may contain errors. Treat AI responses as a starting point for your own research, not as a verified record. Verify any number, fact, or recommendation against primary sources (your brokerage, exchange feeds, issuer filings) before acting on it.

06Marketplace strategies are author-supplied

Strategies on the Tengu marketplace are authored by third parties (or by Tengu under a distinct “Tengu” label) and supplied with their own descriptions, signals, and performance histories. Tengu does not endorse, verify, or guarantee any author’s methodology or claims. Before you subscribe to or deploy any marketplace strategy with real capital, review its logic, position-sizing, drawdown profile, fee structure, and assumptions. Past results, whether live, paper, simulated, or back-tested, do not predict future results.

07Digital-asset and crypto risks

Crypto and other digital-asset trades placed through a connected exchange involve additional risks: high volatility, custody risk, exchange operational risk, regulatory uncertainty, and the practical irreversibility of on-chain transactions. Digital assets are not securities under every regime, are not protected by SIPC, and may not be insured. The legal status of specific tokens varies by jurisdiction and can change. Do not allocate to digital assets capital you cannot afford to lose, and do not connect a wallet or exchange you do not personally control.

08Third-party data and connectivity

Quotes, balances, holdings, news, filings, and other content shown in Tengu come from third-party data providers and from connectivity partners such as SnapTrade, Plaid, Interactive Brokers, and Kraken. That content can be delayed, incomplete, inconsistent, or wrong, and the connectivity itself can be slow, degraded, or unavailable. The brokerage statement you receive directly from your brokerage is the authoritative record of your account, not the view inside Tengu.

09Tax disclosures

Tengu is not a tax adviser. Cost basis, realised P&L, wash-sale, and other figures shown in the product are estimates derived from the data we have at the moment we compute them. They may differ from your brokerage’s tax reporting and from the values that ultimately appear on your tax forms. For any tax decision (including loss harvesting, asset location, and the timing of realised gains) consult a qualified tax professional and rely on your official brokerage 1099 (or equivalent) rather than on Tengu’s in-product figures.

10Eligibility and jurisdiction

The Service is offered in the United States and in other jurisdictions where it is lawful to do so. Some features (for example, certain marketplace strategies, derivatives, or digital-asset operations) may not be available everywhere or to every user. You are responsible for complying with the laws and regulations that apply where you live, including those that govern who may trade specific instruments. Where eligibility requirements (such as options-trading approval) sit with your brokerage, the brokerage’s decision controls.

11Changes to these disclosures

We may update this Disclosures page as the product or the regulatory environment changes. The current version is always reachable from the footer of every page, and the “Last updated” date at the top will reflect the most recent change.
